Agreement

By using the Midway website or service, you agree to these terms. If you are using Midway on behalf of a company, you agree on its behalf.

The service

Midway processes customer files into cleaned, structured outputs, with exception reports for issues that need human review. Specific scope, deliverables, and pricing for pilots and ongoing work are agreed separately in writing.

Your responsibilities

• You confirm you have the right to share the files and data you send us.
• You are responsible for reviewing outputs before relying on them, including any flagged exceptions.

Our responsibilities

We will perform the work with reasonable skill and care. Automated processing can produce errors, which is why outputs include exception reports for review.

Intellectual property

You keep ownership of your data and the outputs we produce from it. We keep ownership of our tools, software, and methods.

Disclaimer and liability

The service is provided as is. To the extent permitted by law, our liability is limited to the amounts you have paid us for the service.

Changes and termination

Either party can end the engagement as described in the applicable agreement. We may update these terms; continued use after an update means you accept the new terms.
